LEGITIMATE INTENTION TO START A BUSINESS

By using our site and creating an account, you agree that you have a legitimate intention to start a business when posting a co-founder listing. This means that you are genuinely seeking a co-founder to join you in starting a new business venture. Any misuse of the platform, including posting listings without a genuine intention to start a business, is strictly prohibited and may result in the suspension or termination of your account.

PROHIBITION OF ILLEGAL BUSINESS CONTENT

By using our site and creating an account, you agree not to post any content related to illegal businesses or business ideas. This includes, but is not limited to, posting co-founder listings to seek a co-founder for starting an illegal drugs business, where such drugs are illegal in the relevant countries. Any content that promotes or facilitates illegal activities is strictly prohibited and may result in the suspension or termination of your account.

RISK OF IDEA MISAPPROPRIATION

By using our site and creating a co-founder listing, you acknowledge and accept that there is an inherent risk that other users may view your business idea and potentially develop a similar business. When creating a co-founder listing, you are required to include a description of your business idea, which will be accessible to other users of the site.

You create a co-founder listing and an account at your own risk. The business shall not be held liable for any potential legal issues arising from the misappropriation or misuse of your business idea by others. We strongly recommend that you take appropriate measures to protect your business idea, including but not limited to seeking legal advice on intellectual property protection.

We have the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these terms of service.

If you know or suspect that anyone other than you know your user identification code or password, you must promptly notify us at charles.sin@foundermart.co.

HOW YOU MAY USE MATERIAL ON OUR SITE

We are the owner or the licensee of all intellectual property rights in our site, and in the material published on it. Those works are protected by copyright laws and treaties around the world. All such rights are reserved.

You must not modify the paper or digital copies of any materials you have printed off or downloaded in any way, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text.

The provisions in this clause should be treated as an express reservation of our rights in this regard, including for the purposes of Article 4(3) of the Digital Copyright Directive ((EU) 2019/790).

You shall not use, and we do not consent to the use of, our site, or any data published by, or contained in, or accessible via, our site or any services provided via, or in relation to, our site for the purposes of developing, training, fine-tuning or validating any AI system or model or for any other purposes not explicitly set out in FounderMart Website Terms of Service: Acceptable Use Policy.

This clause will not apply insofar as (but only to the extent that) we are unable to exclude or limit text or data mining or web scraping activity by contract under the laws which are applicable to us.

OUR TRADE MARKS ARE PENDING REGISTRATION

The names "FM FOUNDERMART" and “FounderMart” are trade marks of FOUNDERMART LTD. These trade marks are currently pending registration in the United Kingdom.

We assert our rights over these trade marks. Any unauthorized use, reproduction, or imitation of these trade marks is strictly prohibited and may result in legal action. Notwithstanding the pending registration, we retain common law rights over these trade marks. We are committed to protecting our brand and intellectual property against any infringement.

We reserve the right to take necessary legal action to protect our trade marks and brand identity from any unauthorized use or infringement.

NON-CONFIDENTIALITY AND USER RESPONSIBILITY

By uploading your business information, business description, or business idea to FounderMart, you acknowledge and agree that such information is not considered confidential. FounderMart is not liable for any claims of idea theft or misuse by other users.

You are responsible for protecting your intellectual property and should not upload any information you wish to keep confidential. By uploading your information, you consent to its processing as described in our Privacy Policy and Terms & Conditions.

UPLOADING CONTENT TO OUR SITE

Whenever you make use of a feature that allows you to create content directly on our site, upload or share content to our site, or to make contact with other users of our site, you must comply with the standards set out in FounderMart Website Terms of Service: Acceptable Use Policy.

You warrant that any such contribution complies with those standards, and you are liable to us and indemnify us for any breach of that warranty. This means you will be responsible for any loss or damage we suffer as a result of your breach of warranty.

We will consider any content you upload to our site to be non-confidential and not protected by any trade mark, patent or copyright ("non-proprietary"), that is, in the public domain. HOW WE RESOLVE DISPUTES

In the event of any dispute arising out of or in connection with these Terms of Use, the parties agree to first attempt to resolve the dispute through mediation. The mediation will be conducted by a mediator agreed upon by both parties, or, if no agreement can be reached, a mediator appointed by the Centre for Effective Dispute Resolution (CEDR). The parties agree to participate in the mediation in good faith and undertake to abide by any agreement reached.

If the dispute is not resolved through mediation within 60 days from the initiation of the mediation process, either party may then refer the dispute to the courts of England and Wales.

We will only use your personal information as set out in our Privacy Policy.

WHICH COUNTRY'S LAWS APPLY TO ANY DISPUTES?

These terms of use, their subject matter and their formation (and any non-contractual disputes or claims) are governed by English law. We both agree to the exclusive jurisdiction of the courts of England and Wales.
